AXIS — TERMS OF USE & SERVICE

1. Service

Axis provides digital tools, exercises, and content designed to support emotional well-being and self-reflection. Some features may require creating an account and providing accurate information.

Axis is not a medical or clinical service and does not provide diagnosis, treatment, therapy, or crisis support.


2. Eligibility

The Service is not intended for children under 13. Do not use Axis if you are under 13.


3. License

We grant you a personal, non-transferable, revocable license to use Axis for your own non-commercial purposes.

You may not:

  • copy, modify, distribute, sell, or publicly display any part of the Service
  • reverse-engineer or attempt to extract source code
  • bypass or interfere with security or usage restrictions
  • use bots, scrapers, or automated tools to access Axis

4. Intellectual Property

All content, software, features, artwork, logos, design, and trademarks available through Axis are owned by Panopticore Inc. or its licensors and are protected by intellectual property laws. Your use grants no ownership rights.


5. User Content

You may submit notes, journals, feedback, and other content ("User Content").

By submitting User Content, you:

  • remain fully responsible for it
  • confirm you have the rights to share it
  • grant Axis a worldwide, royalty-free license to store, process, display, and use it to operate and improve the Service

We may remove or restrict User Content that violates laws or these Terms.


6. Subscriptions & Payments (iOS Only)

Axis may offer paid subscriptions through Apple App Store in-app purchases.

By subscribing, you agree that:

  • you authorize recurring automatic charges until you cancel
  • the subscription renews at the then-current price
  • cancellation must be done through your Apple ID subscription settings
  • Apple handles all payment processing and refunds

Refunds: Axis does not provide refunds. All refund requests must be handled through Apple App Store refund mechanisms.


7. Privacy

Your use of Axis is governed by our separate Privacy Policy, which explains what data we collect and how we use it. By using Axis, you consent to the processing of your data as described in that policy.


8. Account Termination

We may suspend or terminate your account at any time for violations, non-payment, misuse, or security concerns.

You may request account deletion at any time through the app or by contacting support@panopticore.com. Data deletion will follow applicable laws and our Privacy Policy.


If you believe content within Axis infringes your intellectual property rights, send a detailed notice to support@panopticore.com. We may remove content where appropriate.


10. Disclaimers

Axis is provided "as is" and "as available."

We do not guarantee that:

  • Axis will operate without interruptions or errors
  • content, insights, or suggestions will be accurate or suitable for your situation
  • any specific outcomes or improvements will result from using the Service

Axis does not provide medical, psychological, therapeutic, or crisis services. If you are in crisis, experiencing severe distress, or may harm yourself or others, contact local emergency services immediately.


11. Safety Disclaimer

Axis does not provide medical, psychological, or crisis support. Axis is not a substitute for professional diagnosis, treatment, therapy, or emergency intervention.

If you feel unsafe, are in danger, or are experiencing a mental health crisis, contact your local emergency services or crisis hotline immediately.


12. AI Disclosure

Some features in Axis use AI to generate prompts, insights, reflections, and suggestions. AI-generated content may be inaccurate, incomplete, or inappropriate for your specific situation. Do not rely on AI for medical, psychological, legal, or financial decisions. You remain responsible for how you use any information provided.


13. Limitation of Liability

To the fullest extent permitted by law, Panopticore Inc. is not liable for any indirect, incidental, consequential, or special damages, including loss of profits, data, or goodwill.

If liability is established despite this limitation, our total liability for all claims will not exceed the greater of: the amount you paid us in the last 12 months, or $100. Some jurisdictions may not allow certain limitations; in those cases, limits apply to the fullest extent allowed by law.


14. Indemnification

You agree to indemnify and hold Panopticore Inc. and its officers, employees, and partners harmless from claims arising from: your misuse of the Service, your User Content, your violation of these Terms or of any applicable laws.


15. Arbitration & Class Action Waiver (U.S. Users)

Most issues can be resolved by contacting us at support@panopticore.com.

If a dispute cannot be resolved informally, it must be resolved by binding individual arbitration under Delaware law.

You and Panopticore Inc. agree:

  • no class actions or class arbitrations
  • no consolidated claims
  • arbitration replaces the right to a jury trial

Opt-Out Option: You may opt out of arbitration and the class action waiver within 30 days of first accepting these Terms by emailing support@panopticore.com with the subject "Arbitration Opt-Out".


16. Changes to Terms

We may update these Terms at any time by posting a revised version in the app or on our website. Continued use of the Service means you accept the updated Terms.


17. Governing Law

These Terms are governed by the laws of the State of Delaware, excluding conflict-of-law principles.

Where arbitration does not apply, disputes must be resolved exclusively in the state or federal courts of Delaware, USA.
